Terms of Engagement & Service

1. Acceptance of Terms

These Terms of Engagement ("Terms") govern the provision of programming advisory, codebase audits, and AI readiness assessment services ("Services") by Futuretempohub Consulting Co., Ltd. ("Consultant", "we", "us", or "our") to commercial and organizational clients ("Client" or "you"). By requesting a formal scoping assessment, signing a consulting Statement of Work (SOW), or utilizing this website (futuretempohub.click), you agree to be bound by these Terms.

2. Consulting Scope & Independent Advisory

Futuretempohub delivers independent technical evaluations, Abstract Syntax Tree (AST) code analysis, API interface audits, and latency modeling. Our deliverables constitute professional engineering advice and diagnostic roadmaps. Unless explicitly agreed in a customized written Statement of Work, our Services do not include:

• Direct deployment of executable code into Client production infrastructure.
• Third-party cloud vendor procurement or billing management.
• Continuous 24/7 incident response operations.

3. Intellectual Property Rights & Work Product

Client Property: The Client retains all exclusive rights, title, and ownership in and to its proprietary codebases, repository contents, data stores, architectural diagrams, and trade secrets disclosed to the Consultant.

Audit Deliverables: Upon receipt of full payment according to the agreed milestone schedule, the Client is granted an irrevocable, perpetual, worldwide license to utilize, modify, and distribute the custom audit reports, refactoring diffs, and readiness matrices generated specifically for the Client's systems.

Consultant Methodologies: Futuretempohub retains ownership of its pre-existing diagnostic toolkits, benchmark scripts, evaluation rubrics, and general engineering methodologies.

4. Confidentiality & Non-Disclosure

Both parties agree to treat all technical data, repository structures, security vulnerabilities, and commercial discussions as strictly confidential. Futuretempohub enforces sandboxed, read-only inspection protocols and permanently purges local analytical artifacts within thirty (30) days following the conclusion of the advisory engagement.

5. Client Obligations

To facilitate accurate technical evaluations, the Client agrees to provide timely, secure read-only access to relevant code repositories, representative staging schemas, and architectural documentation. Delays in providing necessary access credentials may adjust agreed project delivery timelines accordingly.

6. Limitation of Liability

To the maximum extent permitted by applicable law in Taiwan, Futuretempohub Consulting Co., Ltd. shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the execution of technical recommendations or code refactoring implemented by the Client's internal development team. Our total aggregate liability under any Statement of Work shall not exceed the total consulting fees paid by the Client to Futuretempohub for the specific engagement giving rise to the claim.

7. Governing Law & Dispute Jurisdiction

These Terms and any individual Statement of Work executed hereunder shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Taiwan New Taipei District Court in the first instance.
